1. Agreement to Terms

By accessing or using the services provided by Aetherix Systems ("Company", "we", "our", or "us"), including our website at aetherixsystems.com, AI agent platform, APIs, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our Services.

These Terms constitute a legally binding agreement between you (whether an individual or entity) and Aetherix Systems, a company registered in Dubai, United Arab Emirates.

2. Description of Services

Aetherix Systems provides enterprise applied agentic AI services, including but not limited to:

• •Design, development, and deployment of autonomous AI agents
• •AI agent orchestration and management platform
• •Real-time monitoring and analytics dashboards
• •Enterprise integration services
• •Consulting and advisory services related to AI adoption

The specific scope of services will be defined in individual service agreements, statements of work, or order forms executed between you and Aetherix Systems.

3. Eligibility

Our Services are intended for business use by organizations and their authorized representatives. By using our Services, you represent that you are at least 18 years of age, have the legal capacity to enter into binding agreements, and are authorized to act on behalf of your organization if applicable.

4. User Accounts & Access

Certain features of our Services may require you to create an account or obtain access credentials. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.

5. Intellectual Property

All intellectual property rights in the Services, including software, algorithms, models, documentation, trademarks, and content, are owned by Aetherix Systems or its licensors. Nothing in these Terms grants you any right, title, or interest in our intellectual property except as expressly stated.

You retain ownership of your data and content that you provide to us in connection with the Services. You grant us a limited license to use such data solely for the purpose of providing the Services to you.

6. Acceptable Use

You agree not to use our Services to:

• •Violate any applicable laws, regulations, or third-party rights
• •Develop weapons, conduct surveillance, or engage in activities that cause harm
• •Generate misleading, deceptive, or fraudulent content
• •Attempt to reverse-engineer, decompile, or extract our proprietary models
• •Interfere with or disrupt the integrity or performance of the Services
• •Use the Services in a manner inconsistent with our Reliable AI principles

7. Data Protection & Privacy

Our collection and use of personal data is governed by our Privacy Policy. Where we process personal data on your behalf, we will enter into a Data Processing Agreement that complies with applicable data protection laws including the EU GDPR, UAE Federal Decree-Law No. 45 of 2021, and other relevant regulations.

We implement appropriate technical and organizational measures to protect data processed through our Services, as detailed in our Compliance page.

8. Service Level & Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. Specific service level commitments, including uptime guarantees and support response times, will be defined in individual service agreements. We may perform scheduled maintenance with reasonable advance notice.

9. AI-Specific Terms

Given the nature of our AI services, you acknowledge and agree that:

• •AI outputs are probabilistic and may not always be accurate or complete
• •You are responsible for validating AI outputs before making critical business decisions
• •We continuously improve our models, which may result in changes to output behavior
• •Human oversight should be maintained for high-stakes decisions as outlined in our Reliable AI framework

10. Limitation of Liability

To the maximum extent permitted by applicable law, Aetherix Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Services.

Our total aggregate liability for any claims arising from these Terms or the Services shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Aetherix Systems and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate these Terms with thirty (30) days written notice. We may immediately suspend or terminate your access if you breach these Terms or if required by law. Upon termination, your right to use the Services ceases, and we will provide reasonable assistance in migrating your data, subject to applicable fees.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai. Any disputes arising from these Terms shall be resolved through the Dubai International Financial Centre (DIFC) Courts, unless otherwise agreed in writing.

Before initiating formal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of thirty (30) days.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated with at least thirty (30) days notice via email or prominent notice on our website. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
